Registry Extract Translation in Georgia

Extracts from the National Agency of Public Registry (NAPR) are the documents that prove who owns a Georgian company or property and who is entitled to act for it. TARGMANEBI translates company extracts, property extracts, charters, shareholder resolutions and encumbrance records for foreign banks, investors, courts and registries, and translates foreign company documents into Georgian for company registration and transactions in Georgia.

  • Company extracts with identification numbers, directors, shareholders and share capital rendered exactly.
  • Property extracts with cadastral codes, area, ownership history and encumbrances.
  • Charters, resolutions and registration decisions translated in a consistent corporate style.
  • Foreign extracts (trade registers, certificates of incorporation, good standing) translated into Georgian and notarized.

The two registries and their documents

The National Agency of Public Registry maintains, among others, the Registry of Entrepreneurs and Non-Entrepreneurial Legal Entities and the Registry of Real Property. A company extract shows the entity's name and legal form, identification number, registered address, directors and their powers, shareholders or partners and their shares, share capital, registration date, status and any registered encumbrances such as pledges of shares; it can be issued for a specific date or as a current extract, and the registry portal produces it as a PDF with an electronic signature. A property extract shows the cadastral code, the address, the area and type of property, the current owner, the basis of ownership, the registration history and encumbrances such as mortgages, liens, leases and court seizures.

Around these extracts sit the documents that created the entries: the company charter (articles of association), founders' and shareholders' resolutions, decisions on director appointments, share transfer agreements, the registry's registration decisions, and, for property, sale contracts, gift deeds, inheritance certificates and mortgage agreements. Most cross-border transactions need the extract together with one or more of these underlying documents, and we translate them as a set so that names, share figures and cadastral references match throughout.

Georgian extracts used abroad

Georgian companies need translated extracts when opening bank accounts abroad, registering subsidiaries or branches in Turkey, the EU, the UAE or elsewhere, participating in foreign tenders, signing contracts where the counterparty requires proof of the signatory's authority, applying for foreign loans, undergoing due diligence by an investor, and litigating or arbitrating abroad. Georgian property owners need translated property extracts for foreign mortgage applications, inheritance procedures abroad, proof of assets in visa and residence files (the golden visa programs of several countries, for example) and divorce or tax proceedings in another country.

The receiving side typically wants the extract apostilled by the Public Service Development Agency and translated with the apostille, and the translation notarized. Because registry extracts are dated and many institutions accept them only if issued within the last few weeks or months, we recommend ordering the extract, apostille and translation in one planned sequence rather than translating an extract that will be stale by the time the apostille is back. We can request the extract and the apostille through a representative for clients abroad.

Terminology: legal forms, roles and registry concepts

The Georgian limited liability company (shezghuduli pasukhismgeblobis sazogadoeba, abbreviated as shps) is rendered as LLC with the Georgian abbreviation preserved, and the same rule applies to joint stock companies, cooperatives, individual entrepreneurs, branches of foreign companies and non-entrepreneurial legal entities. Roles are translated by function: a "director" in a Georgian LLC has statutory representative authority, and the extract may list several directors with joint or several powers, which must be translated precisely because a foreign bank will decide from that wording who may sign alone.

Property terms have exact Georgian meanings that do not always map one-to-one onto foreign systems: the distinction between registered ownership and unregistered rights, the various encumbrance types, and land categories (agricultural, non-agricultural) with the restrictions on foreign ownership of agricultural land. We translate these using the terms established in English-language Georgian legislation and add a translator's note where a foreign reader could otherwise misunderstand the effect. Identification numbers, cadastral codes, dates and share figures are copied exactly and checked digit by digit.

Foreign company documents translated into Georgian

When a foreign company or a foreign individual registers a Georgian company, opens a branch, becomes a shareholder or director, buys property or opens a corporate bank account, NAPR, banks and notaries require the foreign corporate documents in Georgian: the extract from the foreign trade register or a certificate of incorporation, a certificate of good standing, the articles of association or bylaws, a board resolution authorizing the Georgian transaction and appointing a representative, and the passport of the representative. All of these must be apostilled or legalized in the country of origin and translated into Georgian with notarization in Tbilisi.

We translate corporate documents from the jurisdictions most active in Georgia: Turkey (Ticaret Sicil Gazetesi extracts and faaliyet belgesi), Germany (Handelsregisterauszug), the United Kingdom (Companies House documents), the United States (state certificates of incorporation and good standing), the UAE (trade licences from mainland and free-zone authorities), Russia, Ukraine, Kazakhstan, Israel, China, the Netherlands, Cyprus and other EU jurisdictions. The registry accepts an extract only when it is recent, and the translation must present the foreign company's name, number and representative exactly as they will be entered in the Georgian registry, so we coordinate the spelling with the client's lawyer where one is involved.

Process, format and timing

Send the extract as the PDF from the registry portal or the scanned paper version, together with any underlying documents that are part of the same transaction, and tell us the institution and country that will receive them. We confirm whether an apostille is needed and on what, whether notarization is required, and whether a certified translation would be enough (for many due diligence exercises it is). Corporate documents are translated with a consistent glossary of the company's names, roles and defined terms, and additional sets in a second language, for example English for a bank and Turkish for a registry, are prepared from a single review.

A current company extract of a few pages is usually translated and notarized within one working day. Charters and resolution packages are quoted by volume with a firm date. Confidentiality is standard, and a non-disclosure agreement can be signed before sending transaction documents. See also our corporate translation page for ongoing support to companies.

What to send for a registry extract translation

Send the registry PDF rather than a screenshot, so that the electronic signature and every field are visible. Add the underlying documents that belong to the same transaction and tell us who will receive the set and in which country. If a lawyer or a foreign registry has prescribed the spelling of the company name or the representative, send that, and tell us whether the extract still needs an apostille.

Questions and answers

Does a Georgian company extract need an apostille for use abroad?

Usually yes, from the Public Service Development Agency, followed by a notarized translation including the apostille. Some due diligence recipients accept a certified translation without apostille; we confirm what your recipient needs.

How long is a registry extract considered valid?

The extract itself has no expiry, but banks and registries typically want one issued within the last few weeks or months. We schedule the extract, apostille and translation together so it is fresh on submission.

How do you translate the Georgian legal form "shps"?

As LLC, with the Georgian abbreviation preserved on first mention, and the same approach for joint stock companies, individual entrepreneurs and other forms.

What foreign documents does NAPR need for registering a company with a foreign shareholder?

Typically an apostilled trade register extract or certificate of incorporation, the articles, a resolution authorizing the Georgian registration and appointing a representative, and the representative's passport, all with notarized Georgian translations.

Can you translate property extracts for a foreign mortgage or golden visa file?

Yes. Property extracts with cadastral codes, ownership history and encumbrances are translated in full, and we can obtain the apostille through a representative if you are abroad.

How quickly can an extract be translated?

A current extract of a few pages is usually translated and notarized within one working day. Charters and resolution packages are quoted by volume with a firm date.

Do you keep a glossary for our company?

Yes. For companies that send documents regularly we keep a glossary of names, roles and defined terms so that every document reads consistently.
